Jardine Cycle & Carriage Divests Malaysian and Singaporean Automotive Businesses to Chandra Asri in S$265 Million Deal
In a major regional corporate restructuring, Singapore-listed Jardine Cycle & Carriage (Jardine C&C) has entered into a conditional agreement to sell its entire automotive distribution and retail operations in Malaysia and Singapore to Indonesia’s Chandra Asri Pacific.
The proposed transaction involves the sale of its core automotive operating entities across both markets, alongside associated trademarks spanning Singapore, Malaysia, and Myanmar, to Chandra Asri’s wholly owned subsidiary, CCHPL Holdings.

The estimated base cash purchase price is set at approximately S$265 million. Proceeds from the divestment will be used primarily to pay down Jardine C&C’s net debt, generating an estimated disposal gain of US$221 million based on first-half 2026 financial metrics. Additionally, S$333 million (around US$260 million) owed by Jardine C&C to Cycle & Carriage Industries Pte Ltd (CCI) will be novated to the buyer.
Strategic Realignment: Focusing on Indonesia and Vietnam
The sale marks a strategic pivot for Jardine C&C as it reallocates capital toward its primary growth engines in Southeast Asia, notably its heavy automotive and industrial holdings through Astra International in Indonesia and Truong Hai Group (THACO) in Vietnam.
By divesting its direct dealership operations in Malaysia and Singapore, Jardine C&C aims to unlock underlying shareholder value while transitioning Cycle & Carriage’s extensive dealership networks into Chandra Asri’s expanding industrial and mobility ecosystem.
Impact on the Malaysian Automotive Landscape
The transaction represents a historic changing of the guard for Cycle & Carriage in Malaysia, where the company traces its roots back to 1899 in Kuala Lumpur.
While ownership changes hands at the holding level, the operational continuity of its Malaysian retail network remains central to the transaction. Key areas and brands affected include:
Mercedes-Benz Network Representation: Cycle & Carriage operates one of the largest networks of authorized Mercedes-Benz Autohaus dealerships and service centres across Peninsular Malaysia. Dealership sales, aftersales servicing, warranty administration, and customer service operations are expected to continue without disruption under the new parent entity.

Multi-Brand Expansion (Stellantis, Peugeot & Leapmotor): In recent years, Cycle & Carriage expanded beyond its traditional Mercedes-Benz footprint to become a key multi-brand partner for Stellantis Malaysia, managing sales and service operations for Peugeot and spearheading retail distribution for Leapmotor electric vehicles. These growing dealership operations will now operate under Chandra Asri’s corporate umbrella.

Commercial Vehicles & FUSO: The group’s dedicated commercial vehicle divisions, including FUSO truck sales and dedicated heavy-duty aftersales centers, will transfer as part of the operating entities.
Workforce and Showroom Infrastructure: With 20 operational facilities across key West Coast market centres—including Selangor, Kuala Lumpur, Penang, and Johor—dealership infrastructure, service personnel, and technical staff are expected to transition under the new ownership structure.
Completion of the deal remains subject to standard regulatory approvals and shareholder conditions across the involved jurisdictions.
